Melissa K. Stubenberg is a Director at Richards Layton & Finger, where she has extensive experience in matters involving limited liability companies and partnerships. A director in the firm’s Limited Liability Company and Partnership Advisory Group, her practice focuses on rendering advice as to matters with the formation, operation and dissolution of Delaware limited liability companies and partnerships. Since beginning her practice, Ms. Stubenberg has worked on a wide variety of transactions, including securitizations, mergers and acquisitions, hedge funds and private equity funds, dissolution/winding-up,
reorganizations and joint ventures. Her practice involves, among other things, analyzing fiduciary duty and contractual interpretation issues for her clients, drafting various agreements, deal structuring, rendering legal opinions and giving support in litigation matters relating to Delaware limited liability companies and partnerships. Melissa has worked on numerous cutting edge transactions, including utilizing series partnerships and limited liability companies. Many Fortune 500 companies and their subsidiaries and some of the world’s largest financial institutions, private equity funds and hedge funds are among Ms. Stubenberg’s clients. Peter A. Mahler is a Partner at Farrell Fritz, P.C. and a leading authority on the judicial dissolution and valuation of partnerships, close corporations and limited liability companies. He concentrates in “business divorce” matters involving conflicts among co-owners of closely held business entities. He has written over 200 articles on corporate valuations, dissolution, and related topics. He is a graduate of NYU School of Law and previously served as a federal law clerk, prior to practicing in complex business law. Joseph C. Mandarino is a Partner at Stanley Esrey & Bucklet, where he focuses his practice on corporate, tax and finance.
