Interactive Question & Answer Session Biography of Seminar Faculty:1.
Pat Derdenger is a Partner at Steptoe & Johnson, where his practice emphasizes federal, state, and local taxation law. Mr. Derdenger is certified as a tax law specialist by the Arizona State Bar. He has been listed in The Best Lawyers in America since 1995 and is a SuperLawyer for State, Local, and Federal Taxation since 2007. He has extensive experience in advising clients on various income tax matters, excise taxation, responsible officer penalties, employment tax and independent contractor issues, including the treatment of “leased employees” for employment tax purposes. He also represents business clients in tax controversy matters, income, employment and excise taxes with the Internal Revenue Service at the audit, appeals, and court levels, including the US Tax Court. Mr. Derdenger serves as the Chair of the Arizona Chamber of Commerce’s Tax Policy Committee, on the Board of Directors of the Phoenix Tax Institute and is the past chair of the Arizona Bar Association Section of Taxation. He earned a J.D. at the University of Southern California Law School and an LL.M. from the George Washington University Law Center.

Edward Froelich is a member of Morrison Foerster’s Tax Group where he represents clients in audit and litigation on all federal tax issues. Mr. Froelich has litigated a number of tax cases and represented clients in numerous IRS audits and appeals proceedings. He is a former trial attorney of the Department of Justice Tax Division, where he litigated numerous cases, including complex corporate cases, in the U.S. Court of Federal Claims. His federal government experience informs his approach to administrative controversies, as he has unparallel knowledge of how documents and testimony can be used by the client or the government if the matter ultimately is litigated. Mr. Froelich has counseled clients from large public companies, privately-held companies, partnerships, trusts, to ultra-high net worth individuals. Many of his clients are in the finance, technology, and real estate industries. He has successfully dealt with a variety of issues including international tax issues, income tax accounting issues, research credit issues, listed transaction issues, accuracy-related penalties, privilege and work product questions. Mr. Froelich also maintains an international tax practice, advising clients on foreign bank account report issues, swap losses incurred by overseas banks, foreign tax credit redetermination events under Section 905(c), and penalties for failure to withhold under Section 1442 on payments of license fees. Mr. Froelich earned a J.D. at the University of Virginia School of Law and an LL.M in taxation at Georgetown University Law Center.

Allen J. Littman is a Partner at Baker Hostetler, where his practice focuses on international tax planning for both domestic and foreign-based businesses. Mr. Littman has had significant experience in a broad range of international and corporate tax issues from the perspectives of outside adviser, corporate tax executive responsible for the design, implementation and defense of company tax plans, and Congressional tax staff responsible for the formulation and implementation of effective tax legislation and treaty policy. He previously served as Legislation Counsel to the Joint Committee on Taxation of the United States Congress, where he focused primarily on issues involving international and corporate taxation. His responsibilities at the Joint Committee on Taxation included developing and drafting legislation and legislative history, reviewing and analyzing proposed tax treaties for consideration by the U.S. Senate, reviewing IRS settlements of large tax refund claims, and analyzing the President’s budget proposals. Mr. Littman also served as the Director of International Tax at MCI, a large multinational telecommunications and internet corporation, where he was responsible for planning, implementation and compliance with regard to U.S. taxes attributable to cross-border activities and all foreign taxes. He holds an LL.M. in taxation from the University of Florida College of Law. Mr. Littman is a Certified Public Accountant.
