Biography of Seminar Faculty:

1. Roman Basi is the President of The Center for Financial, Legal, & Tax Planning, Inc., a law/accounting firm specializing in tax/business law, estate planning and succession planning. He practices in the areas of business succession, mergers and acquisitions, retirement and estate planning, real estate, corporation structures, tax aspects of business decisions for closely held and family businesses, trademark applications, trademark oppositions, patent applications, and trial litigation. Mr. Basi holds an MBA and is a licensed Attorney, Real Estate Broker, Real Estate Sales Associate, Title Insurance Agent, and Private Pilot. He is a highly sought-after speaker and author, including having published a workbook on Secured Transactions and Series Limited Liability Companies, in addition to numerous articles.

2. Drew G. Sloan is a member of Richards, Layton & Finger's Limited Liability Company and Partnership Advisory Group. Mr. Sloan's practice focuses on limited partnerships, general partnerships and limited liability companies, including with respect to formation, operation, governance and dissolution matters. He also renders advice regarding mergers, acquisitions, conversions and other structural changes involving alternative entities. Working with some of the country's largest companies, including billion-dollar private equity funds, Mr. Sloan advises clients on acquisition, investment fund, structured finance, joint venture and cross-border transactions.

3. Shannon S. Frazier is a Partner at Morris James LLP and a member of the firm's Business Transactions, Strategic Planning and Counseling Practice. Ms. Frazier's group has been involved in over $50 billion in financings for a wide range of clients. In her practice, Ms. Frazier renders legal advice to business entities in the areas of formation, operation, and governance of statutory and common law trusts, limited liability companies, series entities, partnerships, and corporations. She also represents banks, trustees, financial institutions, and other parties in securitization, private equity, structured finance, and secured transactions, and offers third-party legal opinions in these matters. In her work with financial clients, Ms. Frazier has served as counsel to state and national banking institutions, advising them in a range of transactions. These include asset-backed securitization, structured finance, project finance, equipment finance, traditional leveraged lease, trust preferred, and cross-border financial transactions. Ms. Frazier has authored several articles, including Entity Lifecycles: An Overview of the Statutory Requirements Relating to the Formation, Maintenance, and Termination of Delaware Corporations, Limited Liability Companies, and Statutory Trusts and Trustee Representation in Structured Finance Transactions. She has also spoken widely on the Advantageous Uses of LLC’s, Ethics in Transactional Practice, and Indemnification: An Overview.
