Benefits: Structuring cross-border business transactions and planning for optimal tax treatment can be a complex subject. Our nationally recognized speaker will break down the transactions and the relevant issues into easy to follow and understand bites. The seminar will consider negotiating the letter of intent and the definitive purchase or joint venture agreement, conducting international due diligence, determining the application of foreign law and choice of law and forum. The presentation will then examine the tax consequences of cross-border transactions.
The discussion of outbound transactions (U.S. business going offshore) will cover Controlled Foreign Corporations, Subpart F income, understanding and selecting treaties, withholding rules, negotiating points for joint ventures, Passive Foreign Investment Companies, and foreign tax credits. The discussion of inbound taxation (foreigners doing business or investing in the U.S.) will cover tax planning for EB-5 investors, pre-immigration income and estate tax planning, FIRPTA, and ownership structures for non-resident aliens. Participants will receive well prepared, written materials that will examine the above topics in much greater detail.
