Biography of Seminar Faculty:

1. Joseph C. Mandarino is a Partner at Smith, Gambrell & Russell, LLP, where he focuses his practice on corporate, tax and finance. He has extensive experience in workouts, restructurings, modifications, and structuring M&A transactions, from both the buyer and seller sides. He has also counseled clients on corporation transactions, including partnerships, LLC's, and other financial products. A graduate of NYU Law School's LL.M. Tax program, Mr. Mandarino excels at also providing his clients with legal advice relating to tax controversies, audits, appeals, and regulatory hearings. He is a highly sought-after writer on the latest business, tax and finance topics, having published his work in the National Law Journal, Mergers & Acquisitions magazine, Tax Notes Today, the Journal of Real Estate Taxation, the Journal of S Corporation Taxation, the Journal of Multistate Taxation, Tax & Finance Newsletter, and the NYU Institute on Federal Taxation. In addition, he has spoken at meetings and seminars organized by numerous organizations, including the White House Conference on Small Business, the U.S. Small Business Administration, among many others.

2. Brandon M. Schwartz is a corporate trial attorney with Schwartz Law Firm. He is certified by his state bar as a civil trial specialist. Mr. Schwartz focuses his practice primarily on business law and business litigation involving such matters as shareholder disputes, derivative actions, contract creation and litigation, company formation, and discrimination. He is a frequent speaker and author on business and commercial litigation in publications and seminars nationally. Mr. Schwartz has been listed in Super Lawyers multiple times, is a life-member of the Million Dollar Advocates Forum and the Multi-Million Dollar Advocates Forum, received a Lifetime Achievement Award from America’s Top 100 Attorneys, and is a Lifetime Member of Best Attorneys of America.

3. Daniel S. Welytok is a shareholder at von Briesen & Roper, s.c., where he assists clients with tax issues, acquisitions and divestments, business and capital structuring, financing, corporate governance, information technology, licensing and distribution, regulatory and compliance issues, labor and employee benefits matters, and dispute resolution. He serves as chair of the firm’s Opinion Review Committee. He is a member of hi region's TE/GE Council liaison with the Internal Revenue Service, and on the editorial staff of the TAXFAX column of The Cooperative Accountant. He has authored and edited various tax and law-related books listed as best sellers by Amazon.com, including Nonprofit Law & Governance for Dummies with a foreword by U.S. Senator Chuck Grassley, Sarbanes-Oxley for Dummies and The Wisconsin Guide to Nonprofits. Mr. Welytok has served as articles editor for The Tax Lawyer, as Chair of a national bar association's Tax Law Committee, and as a director on his state bar's Tax Section Board, among others.
