Biography of Seminar Faculty:

1. Dr. Bart A. Basi, Ph.D., is a nationally recognized attorney, certified public accountant, and business consultant. He is a Senior Advisor at Basi, Basi & Associates, where he focuses his practice on financial accounting, business succession, business valuation, mergers and acquisitions, retirement and estate planning, strategic planning, and tax aspects of business decisions for closely held and family businesses. He is a highly sought-after lecturer and author on corporate. He has published five books, fourteen workbooks, and over 300 articles, and has worked with hundreds of businesses and associations. Journals that have published Dr. Basis’ work include Money Matters, The American Journal of Small Business, The Journal of Family Law, The Journal of Estate Planning, The Tax Lawyer, Small Business Taxation, Taxation for Individuals, Taxation for Accountants, Taxation for Lawyers, The CPA Journal and The Tax Executive. Dr. Basi has served on the faculties of Southern Illinois University, Penn State University, Indiana University, The University of Louisville, and Syracuse University. He is listed in Harvard Business School Profiles in Business and Management.

2. Daniel S. Kleinberger is Professor of Law at William Mitchell College of Law, where he has taught business law since 1986. A graduate of Harvard University and Yale Law School, Professor Kleinberger has served as co-Reporter for the Uniform Law Conference’s Revised Uniform Limited Liability Company Act and Reporter for the Conference’s Uniform Limited Partnership Act. He is currently serving as Co-Reporter for the Conference’s Drafting Committee on the Harmonization of Business Entity Acts and as Reporter for the Conference’s Drafting Committee on Series of Unincorporated Business Entities. Professor Kleinberger has published widely on corporate law, including myriad articles on business organizations and two books entitled, “LIMITED LIABILITY COMPANIES: TAX AND BUSINESS LAW” as well as “AGENCY, PARTNERSHIP AND LLCS: EXAMPLES AND EXPLANATIONS.” His work has been cited by state and federal appellate courts, federal bankruptcy courts, and Delaware Court of Chancery.

3. Donna Ray Berkelhammer practices at Sands Anderson, where she focuses on contract and commercial law, business formation, mergers and acquisitions, licensing, among other areas of corporate legal interest. Ms. Berkelhammer routinely counsels business leaders through transactions during the entire life of the company, including formation; growth; sale, merger, or winding-up; and business succession planning. She regularly works with entrepreneurs to bring a business concept to the marketplace, as well as guiding established companies through critical negotiations. Ms. Berkelhammer also has considerable expertise in negotiating, financing and closing complex real estate transactions, including representing buyers, sellers, lenders and developers of retail shopping centers and residential condominium properties. She is a graduate of The George Washington University in Washington.
